  • No. This is an expression if interest. We will provide full offering docs before collecting any capital.

  • This is a long-term, illiquid investment typical of early-stage startups. If successful, returns typically occur in 7-10 years through an acquisition or IPO. However, most startup investments result in partial or total loss of capital. You should only invest money you can afford to lock up for a decade or potentially lose entirely.

    We strongly recommend speaking with a tax professional and financial advisor to understand:

    • Tax implications (K-1s, capital gains treatment)

    • How this fits into your overall portfolio

    • Liquidity needs and risk tolerance

    • Accredited investor status (if applicable)

  • We have a target close date of 12/31. We will close the SPV once we reach 100 members ($1K min. investment) or $100K, whichever occurs first.

  • We are planning to deploy capital in January 2026.

  • Standard management fees and carry will apply. Full fee structure will be disclosed in December before any capital commitment.

  • We will have a preliminary investor call in mid-to-late November. During that call, we’ll reveal our founders finalists that we are engaging for due diligence. Negotiation around terms, capital call, and deployment will be finalized in December. The SPV opportunity is projected to close on 12/31 so that we may deploy capital in January.

    1. Ideally, a Sengo community member or grant recipient (we want to invest in a company we know well)

    2. Post-MVP with early traction ($10k+ MRR or 100+ active users)

    3. Raising $250k-$1M round (the $100k is meaningful but not the whole round)

    4. Clear 12-18 month milestones the capital will help them hit

    5. Underrepresented founder

    6. Tech-enabled (higher scalability/exit potential)
